Terms of Service

1. Description of Service

Audyt is an AI-powered freight invoice auditing platform. The Platform allows users to upload carrier invoices and rate confirmations, which are then analyzed using artificial intelligence to identify billing discrepancies, overcharges, and other errors.

2. Account Registration

To use the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must be at least 18 years old to create an account.

3. Subscription and Payment

Pricing

Access to the Platform requires a paid subscription. Current pricing is displayed on our website. We reserve the right to change our pricing at any time, with at least 30 days notice to existing subscribers.

Free Trial

We may offer a free trial period. During the free trial, you will have full access to the Platform. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

Billing

Subscriptions are billed monthly. Payment is processed through Stripe.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access through the end of your current billing period. No refunds will be issued for partial billing periods.

Failed Payments

If a payment fails, we may retry the charge. If payment cannot be collected after reasonable attempts, we reserve the right to suspend or terminate your account.

4. Acceptable Use

You agree to use the Platform only for its intended purpose. You agree not to:

• Upload documents containing malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform or its systems
• Use the Platform to violate any applicable law or regulation
• Share your account credentials with unauthorized third parties
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to process documents unrelated to freight invoice auditing
• Resell, sublicense, or redistribute access to the Platform

5. Your Data and Documents

Ownership

You retain full ownership of all documents you upload to the Platform. We do not claim any ownership rights over your documents or data.

License to Process

By uploading documents to the Platform, you grant us a limited license to process, analyze, and store those documents solely for the purpose of providing the auditing service to you. We will not use your documents for any other purpose, including training AI models on your specific business data, without your explicit consent.

Data Handling

We handle your documents and data in accordance with our Privacy Policy. You are responsible for ensuring that you have the right to upload any documents you submit to the Platform.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The discrepancy reports and audit results generated by the Platform are provided as informational tools only. They are not a substitute for professional accounting, financial, or legal advice. You are solely responsible for reviewing and verifying any discrepancies identified by the Platform before taking action.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR AUTOMATION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Northstar Automation LLC from and against any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Platform, your violation of these Terms, your violation of any applicable law, or any documents you upload.

9. Modifications

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform.

10. Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms. You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida. Any disputes shall be resolved in the state or federal courts located in Broward County, Florida.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Northstar Automation LLC regarding your use of the Platform.
